Welcome to Cog/rithm aka. Cogrithm. These Terms of Service ("Terms") govern your access to and use of the Cogrithm API and website (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Cogrithm provides a multi-agent orchestration middleware API that processes data using third-party Large Language Models (LLMs). Cogrithm acts solely as a logic and routing layer. To use the Service, you must provide your own valid API keys from supported third-party foundational model providers (e.g., OpenAI, Anthropic, Google). You are solely responsible for maintaining the validity of these third-party keys and complying with their respective Terms of Service.

2. API Access and Security

Upon registration, you are issued a unique Cogrithm Enterprise API Key.

Security: You are strictly responsible for keeping your API key secure. You agree not to share, publicly expose, or embed your API key in unencrypted client-side code.

Revocation: We reserve the right to instantly revoke or suspend your API access, without notice, if we detect abusive request patterns, malicious prompt injection attempts, or payment failures.

3. Billing and Subscription

Cogrithm operates on a straightforward, predictable monthly subscription model designed to support high-density, professional-grade output without the complexity of usage-based pricing. Your subscription fee provides full, unrestricted access to the Cogrithm orchestration engine based on your selected service tier, ensuring there are no variable usage fees or metered surcharges for your API executions. All subscription fees are processed upfront for the designated service period and are non-refundable, as compute resources are provisioned to maintain the infrastructure required for your specific architectural needs. You may cancel your subscription at any time via the billing portal, at which point your access to live API keys will remain active through the end of your current paid billing cycle before being formally revoked.

4. Data Privacy and Pass-Through

Cogrithm is designed as a stateless pass-through architecture. We process the text data you submit in your API payloads strictly for the purpose of executing the orchestration. We do not store your raw payload data or the generated outputs in our databases, nor do we use your proprietary data to train our own models.

5. Disclaimer of Warranties (AS IS)

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. COGRITHM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI Output Disclaimer: You acknowledge that the Service utilizes experimental artificial intelligence. Cogrithm does not guarantee that the generated outputs, logic, or synthesis will be factually accurate, reliable, or error-free. You are solely responsible for independently verifying any logic, code, or strategic advice generated by the API before relying on it in a production environment or business workflow.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COGRITHM, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

In no event shall Cogrithm's total liability to you for all damages, losses, and causes of action exceed the amount you have paid Cogrithm in the last billing cycle.

7. Indemnification (Safe Harbor)

You agree to defend, indemnify, and hold harmless Cogrithm and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

Your use and access of the Service.

A breach of these Terms.

Any data, inputs, or files you submit to the Service that violate the intellectual property, privacy, or legal rights of a third party.

8. Modifications

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by updating the date at the top of these Terms. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.
